Job description: Job Title: Legal Counsel – Private MarketsOur client, a leading financial services firm, is seeking a talented and experienced Legal Counsel to join their Private Markets team. The successful candidate will play a pivotal role in enriching the lives of all stakeholders by contributing to the firm’s growth and success, while deepening relationships with various internal and external parties. This role offers the opportunity to collaborate with diverse teams, including Portfolio Managers, Distribution, Risk, the Trading Desk, and external service providers, ensuring the highest level of impact through combined knowledge and skills.Key Responsibilities:Process Management:
- Draft and review private equity agreements, including shareholder agreements, MOIs, loans, security agreements, sale agreements, lease agreements, and other transaction-related documents.
- Draft and review agreements related to the company’s corporate structure, such as group shareholder agreements and shareholder loans.
- Lead the closing of private equity transactions, monitoring conditions precedent and resolutions.
- Ensure compliance with private equity agreements, including monitoring loan repayments and other ongoing obligations.
- Draft Memoranda of Understanding (MOUs) for new business ventures.
- Engage and manage external counsel as required.
- Draft and review various general agreements (e.g., sponsorship agreements, NDAs, office-related contracts).
- Review and manage office lease agreements.

- Share knowledge of products, processes, and systems with colleagues.
- Work collaboratively with internal teams to meet service level expectations.
- Achieve personal performance objectives and contribute to team success.

Ideal Qualifications:
- A legal degree is required.
Ideal Experience:
- 5-10 years of experience in a similar role, ideally within the financial services industry (preferably fund management).
- Demonstrated experience in drafting commercial agreements with a strong organizational background.
